Welcome to GMR Solutions. These Terms of Service govern your access to and use of our website, products, and services including but not limited to Bulk SMS, Bulk Voice Call, WhatsApp Business API, Custom Web Application Development, and Printing Services (collectively, the “Services”).

By using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our Services.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent that you meet these requirements.

2. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms and applicable laws. You must not:

• Use the Services to send spam, fraudulent, or misleading messages.
• Infringe on the intellectual property rights of others.
• Interfere with the operation or security of our systems.
• Misuse APIs or attempt to access unauthorized data.
• For Bulk SMS and Voice services, you must comply with DLT (Distributed Ledger Technology) regulations and TRAI (Telecom Regulatory Authority of India) guidelines.

3. Account and Security

To access certain Services, you may be required to create an account. You agree to:

• Provide accurate and complete information.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized access or security breach.

You are responsible for all activities under your account.

4. Payments and Billing

Fees for services are described on our website or in individual service agreements. By placing an order, you agree to:

• Pay all charges associated with your use of our Services.
• Ensure your payment method is valid and up to date.

We use secure third-party payment processors (e.g., Razorpay) and do not store full credit card details.

5. Cancellation/Refund Policy

GMR Solutions offers a range of digital services, and the nature of our offerings dictates our cancellation and refund policy.

Digital Communication Services (Bulk SMS, Bulk Voice Call, WhatsApp Business API):

• No Refunds: Due to the immediate and irreversible nature of digital message delivery, credits purchased for Bulk SMS, Bulk Voice Calls, and WhatsApp Business API services are non-refundable. Once credits are purchased and allocated to your account, they cannot be converted back to cash.
• Credit Expiry: Purchased credits typically have a validity period. Please refer to your service agreement or account details for specific expiry dates. Unused credits after the expiry date will be forfeited.
• Service Issues: In the rare event of a technical issue preventing service delivery that is attributable to GMR Solutions, we will investigate and, if confirmed, may offer compensatory credits. No cash refunds will be issued.

Web Application Development & Printing Services:

• Project-Based: These services are project-based and subject to individual agreements, contracts, and payment schedules.
• Cancellation: Cancellation terms for web application development and printing services will be explicitly outlined in the respective service agreement. Depending on the stage of the project and work completed, cancellation may result in forfeiture of advance payments or require payment for work already performed.
• Refunds: Refunds for web application development and printing services are processed strictly according to the terms stipulated in the signed service agreement. Generally, full refunds are not provided once work has commenced. Partial refunds or adjustments may be considered based on the work completed and expenses incurred.

6. Service Availability

We aim to provide uninterrupted access to our Services. However, we do not guarantee continuous, error-free operation and reserve the right to suspend, modify, or terminate any Service (with or without notice) for maintenance, upgrades, or technical reasons.

7. Intellectual Property

All content, branding, and technology provided through our Services are the intellectual property of GMR Solutions or its licensors. You may not copy, modify, distribute, or use any of our materials without prior written consent.

8. User-Generated Content

If you upload or transmit content (e.g., messages, designs), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute such content to the extent necessary to provide the Services.

You are solely responsible for content you submit and must ensure it does not violate laws or third-party rights.

9. Termination

We reserve the right to suspend or terminate your access to our Services at any time for any reason, including breach of these Terms or applicable law.

You may terminate your use of our Services at any time by ceasing all access.

10. Limitation of Liability

To the maximum extent permitted by law, GMR Solutions is not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Services.

Our total liability in any matter arising out of these Terms is limited to the amount you paid us in the past 6 months.

11. Indemnification

You agree to indemnify and hold harmless GMR Solutions, its directors, employees, and affiliates from any claims, losses, damages, and expenses arising out of your use of the Services or your violation of these Terms.

12. Changes to Terms

We may revise these Terms at any time. Updated Terms will be posted on our website, and your continued use of the Services after any changes constitutes your acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
